Sovra Terms of Service
1. Acceptance of Terms
By accessing or using the Sovra mobile application, website, or related services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.
2. Eligibility & Restricted Jurisdictions
You may use Sovra only if you:
- Are at least 18 years old;
- Are not a citizen, resident, or located in the United States;
- Are not located in, incorporated in, or otherwise subject to the jurisdiction of any country or territory that is the subject of comprehensive U.S., EU, or UN sanctions (including but not limited to Iran, North Korea, Cuba, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); and
- Are not a person or entity listed on any sanctions or watchlist maintained by OFAC, the EU, or the United Nations.
By using Sovra, you represent and warrant that you meet these requirements.
3. Identity Verification
You may create a Sovra wallet and access certain features without completing identity verification. However, if you wish to fund your account with fiat currency, withdraw fiat, or use Sovra's on-ramp/off-ramp services, you must complete Know Your Customer (KYC) checks through our third-party verification partners.
Sovra may suspend or restrict your use of the Services if you fail or refuse to complete such verification, or if required by applicable law.
4. No Guarantee of Yield
Sovra facilitates access to third-party decentralized finance protocols that may generate yield on digital assets. Any displayed Annual Percentage Yield ("APY") is indicative only, may change at any time, and is not guaranteed.
Sovra does not control the operation of such protocols and does not warrant their performance, security, or continued availability. You acknowledge that you bear all risks associated with yield generation.
5. Risk of Loss & Limitation of Liability
Sovra is a self-custody platform. You — not Sovra — control your wallet and digital assets. Sovra never has access to your private keys or the ability to move your funds.
By using the Services, you acknowledge and agree that:
- Sovra is not responsible for losses due to user error (e.g., lost credentials, incorrect wallet addresses), blockchain failures, smart contract vulnerabilities, market volatility, or third-party actions;
- Sovra does not guarantee uninterrupted access, minimum yield, or any level of performance;
- You are solely responsible for safeguarding your wallet, recovery credentials, and devices;
- You are responsible for complying with applicable laws, including AML, sanctions, and tax obligations; and
- Sovra cannot recover lost credentials, reverse transactions, or provide insurance against loss.
To the fullest extent permitted by law, Sovra disclaims all liability for damages, losses, or claims arising from or related to your use of the Services.
6. No Banking, Insurance, or Investment Services
Sovra is a technology platform, not a bank, broker, investment adviser, or custodian. The Services are not financial products regulated or insured by any government agency.
- No Deposit Insurance: Balances held through Sovra are not insured by the FDIC, any central bank, or any government-backed insurance scheme.
- No Investment Advice: Information provided in Sovra (including displayed APY or other figures) is for informational purposes only and does not constitute financial, legal, or tax advice. You are responsible for your own decisions and obligations.
7. Prohibited Uses
You agree not to use Sovra for unlawful, abusive, or harmful purposes. Without limitation, you may not use Sovra to:
- Violate any applicable law or regulation;
- Engage in money laundering, terrorist financing, or financial crime;
- Evade sanctions or transact with sanctioned persons or entities;
- Commit fraud, scams, or deceptive practices;
- Fund or facilitate illegal gambling, narcotics, or weapons proliferation;
- Spread malware, ransomware, or other harmful code; or
- Interfere with the security, functionality, or integrity of Sovra.
Sovra may suspend or terminate your use of the Services if we reasonably suspect prohibited activity.
8. Suspension & Termination
Sovra may suspend, restrict, or terminate your access to the Services if:
- We reasonably suspect you have violated these Terms, applicable law, or our Prohibited Uses policy;
- We are required to do so by law, regulation, or lawful authority; or
- Continuing to provide Services would create unacceptable legal or regulatory risk.
Where reasonably possible, Sovra will provide you with notice before suspension or termination. Certain obligations (including Risk of Loss, Liability, and Governing Law) survive termination.
9. Service Availability
Sovra does not guarantee uninterrupted or error-free operation. Services may be suspended or limited due to maintenance, upgrades, security reviews, network congestion, or events beyond Sovra's control.
You acknowledge that Sovra is not liable for losses caused by service interruptions, and transactions during downtime may be delayed, cancelled, or rejected. Sovra may modify or discontinue all or part of the Services at any time, with reasonable notice where practicable.
10. Third-Party Services
Sovra integrates with independent third-party providers (e.g., identity verification, payments, on/off-ramps, DeFi protocols). These services are outside Sovra's control.
You acknowledge that:
- Sovra is not responsible for the availability, performance, or security of third-party services;
- Sovra does not guarantee or endorse such third parties;
- Your use of third-party services may be subject to separate terms and policies; and
- Sovra may suspend or modify integrations without liability if required for technical, legal, or regulatory reasons.
11. Governing Law & Dispute Resolution
These Terms and any disputes arising from them are governed by the laws of the State of Delaware, without regard to conflicts of law.
Any dispute, claim, or controversy ("Dispute") will be resolved exclusively by final and binding arbitration under the rules of the American Arbitration Association (AAA), by a single arbitrator in Wilmington, Delaware.
- All Disputes must be brought individually, not as part of a class or collective action.
- The arbitrator has authority to decide disputes over enforceability of this arbitration clause.
- Judgment on the award may be entered in any court of competent jurisdiction.
If arbitration is found unenforceable, Disputes will be heard exclusively in state or federal courts in Wilmington, Delaware.
12. Updates to These Terms
Sovra may update these Terms from time to time. Material changes will be notified in-app or by email. Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
